Terms of Service

These terms govern your use of the LeadSeed website and services. By creating an account, paying for a subscription or using the service, you agree to them on behalf of the business you represent.

LeadSeed provides software and services that help UK service businesses collect customer reviews, send appointment reminders and rebooking messages, and keep in touch with customers. The service is provided to businesses and is not intended for consumers. Features depend on the plan you subscribe to.

3. Your account

• You must give accurate information and keep your login details secure.
• You are responsible for everything done under your account and for your staff's use of it.
• You must be authorised to bind the business that signs up.

4. Subscription, billing and renewal

• Prices are in pounds sterling (GBP). Unless an invoice states otherwise, no VAT is charged.
• Subscriptions are billed monthly in advance, by card through Stripe. Each invoice covers one monthly billing period beginning on the billing date.
• The subscription renews automatically each month until cancelled.
• We issue an itemised invoice for each payment.

5. Late payment

If a payment is not made in full by its due date, we are entitled to statutory interest at 8% per year above the Bank of England base rate, accruing from 10 days after the due date, and a fixed sum of £40 per overdue invoice (invoices under £1,000), in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We may suspend the service while any invoice remains overdue, after 7 days' written notice.

6. Cancellation and refunds

You may cancel at any time by written notice to [email protected] before the next billing date; the service continues until the end of the period already paid. Refunds are available only where stated in the offer you accepted or where required by law.

7. Acceptable use and messaging compliance

You must use the service lawfully and must not misuse it. In particular, you are responsible for:

• having a lawful basis, and consent where required, to contact your customers by SMS, WhatsApp, email or phone under UK GDPR and the Privacy and Electronic Communications Regulations (PECR);
• honouring opt-outs promptly;
• complying with the terms and policies of the channels you connect, such as WhatsApp/Meta and Google;
• not sending unlawful, misleading, abusive or spam content, and not offering incentives that breach the rules of any review platform.

We may suspend or restrict access where use puts the service, other clients or recipients at risk.

8. Your data and ours

You own the data you put into the service. For personal data about your customers, you are the controller and we act as your processor, handling it only on your instructions as described in our Privacy Policy. We own the software, branding and materials we provide and grant you a limited, non-transferable right to use them while your subscription is active.

9. Third-party services

The service relies on third parties, including HighLevel, Stripe, messaging networks and review platforms. We are not responsible for outages or changes outside our reasonable control, but will work to restore service promptly.

10. No guarantee of results

We aim to help you win more reviews and repeat customers, but results depend on your business, customers and the platforms involved. We do not guarantee any specific number of reviews, rankings, bookings or revenue.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, or loss of profit, revenue or data, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.

12. Termination

Either party may end the agreement under section 6. We may end or suspend the service immediately for serious or repeated breach of these terms, or for non-payment after notice. On termination you remain liable for fees already due, and we will delete or return your data as set out in our Privacy Policy.

13. Changes

We may update these terms. For changes that materially affect you we will give reasonable notice, and continued use after the notice period means you accept them. The latest version is always on this page.

14. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
